CPU & GPU Usage

I have fairly decent system

AMD PhenomII X4 965 3.4ghz
ATI 6870
8GB RAM
Windows 7 64bit

I play TS2012 with TSX on using SSAA 2x2 all settings at highest apart from shadows off.

On Woodhead most of the time fps is 27-29. Around Guide Bridge & London road goes down to around 17.

Been playing today overclocking CPU and GPU and monitoring usage. I have overclocked CPU from 3.4ghz to 4.0 ghz and overclocked graphics card from 900/1050mhz to 950/1100mhz. This only resulted in 1-2 fps gain which was surprised about. What surprised me more was watching cpu and gpu usage graphs they were both around the 50% mark constantly, even when going through guide bridge etc. So why does the fps drop at say guide bridge but the cpu isn't at full capacity etc?
